Terms of Use & License
SIMPLI IN THE BOX® is developed and owned by OPERARI S.R.L. Società Benefit, a Certified B Corporation™.
Last updated: 11 September 2026 — version 20260911
These Terms of Use and License (“Terms” or “EULA”) govern the use of the SIMPLI IN THE BOX® game and, in particular, the licensed content that accompanies it — the Card Book and the Training Guide provided for each edition (together, the “Materials”). These Terms form part of, and should be read together with, our Terms of Service; in case of conflict on licensing matters, these Terms prevail. The game and the Materials are sold business-to-business only, to customers with an approved business account; these Terms apply to that business customer and its authorized users, and are not directed to consumers. By purchasing, accessing or using the Materials or the game, you accept these Terms on behalf of the business you represent. You accept these Terms by ticking the dedicated acceptance box when registering your business account (and, where provided, in the purchase flow), by confirming your order, or by accessing or using the Materials, whichever occurs first. The version of these Terms in force at the time of your order governs the copy and the license acquired with that order; later versions apply only to purchases and licenses made after they are published. OPERARI records the version accepted with each order and makes it available to you on request in a durable medium. You represent and warrant that you are acquiring the game and the Materials in the course of your trade, business, craft or profession and not as a consumer.
The game, the editions and the Materials
SIMPLI IN THE BOX® is available in two editions: the base game (Standard Edition) and the Card Deck expansion (Advanced Edition). The two editions may also be purchased together as the Bundle. Each edition has its own companion Materials — a Card Book and a Training Guide — and each of these companion books is identified by its own ISBN.
When you acquire a physical copy of an edition, you own that physical copy. The Materials — the Card Book and the Training Guide, whether supplied as printed books or as companion PDF files — together with all game and editorial content, are not sold to you but licensed for use under these Terms. Nothing in these Terms affects the exhaustion of the distribution right in a physical copy lawfully placed on the market in the European Economic Area by OPERARI or with its consent: you may transfer that physical copy as a whole on the conditions set out in Section 9. Exhaustion does not apply to the companion PDF files or to any other digital copy, which are licensed and not sold, and which you may not resell, transfer, or otherwise make available to any third party.
The Card Book reproduces the 96 game cards of the edition and adds 96 text-only, language-neutral cards — the full card wording with no colors, no cues and no marked answer — so that the Game Master can display a card on a screen without revealing whether it is a risk or an opportunity, a good or bad practice, or which quiz answer is correct.
The Training Guide is an editorial book (with its own ISBN) that sits behind every card — its intent, the key points, why each answer works or fails, and the exact B Lab Standards™ it draws from — so that any Game Master can lead with confidence.
1. Ownership and intellectual property
The texts and editorial content of the cards and of the Training Guide are © 2026 OPERARI S.R.L. Società Benefit (“OPERARI”). All rights reserved. Editorial responsibility for this publication is held by OPERARI; the texts were prepared under human editorial control.
“SIMPLI IN THE BOX®” is a trademark of OPERARI registered with the EUIPO. The visual designs of the cards, box and game board are registered Community designs of OPERARI (EUIPO). All such rights are reserved.
“B Lab Standards”, “B Lab”, “B Corp”, “Certified B Corporation” and related marks are trademarks of B Lab Company, used under license and referred to here for descriptive and referential purposes only. The Materials and the game are independent educational tools and are not sponsored, endorsed, certified by, or affiliated with B Lab™.
2. Your license
Your permitted use depends on which license applies to you. Two licenses are available; the rights under each are set out in full below so that the differences are clear. In both cases the restrictions in Section 5 apply, and — where OPERARI provides companion PDF files — Section 4 also applies. The Non-Commercial (Standard) License is included with each copy; the Commercial License is obtained separately, as a paid upgrade, for the corresponding product. These licenses are granted in respect of OPERARI’s Materials and the game; they do not grant you any right in the B Lab Standards™ themselves, use of which remains subject to the terms of B Lab™. Each license is granted worldwide, on a non-exclusive and non-sublicensable basis, for the term set out in Section 9, and is limited to the rights expressly stated below. All rights not expressly granted are reserved to OPERARI.
Definitions
“Non-Commercial Use” means use in which no fee or other consideration is charged to clients or third parties for delivering or giving access to a session using the Materials. It includes: personal play and study; use by schools, universities and other educational institutions as part of their teaching; advocacy and non-commercial social-impact training; and internal training by a business or other organization for its own personnel, and for the personnel of other entities belonging to the same group (that is, entities that control, are controlled by, or are under common control with, that organization). In each of these cases, participants are not charged a per-session fee beyond recovery of direct out-of-pocket costs (e.g., materials or venue). Non-Commercial Use is defined by the activity and the absence of a fee for the session, not by the identity or for-profit status of the user: for example, a for-profit company or a consultant that delivers advocacy or non-commercial social-impact training without charging a fee for the session is making Non-Commercial Use.
“Commercial Use” means use in which a fee, price or other consideration is charged to clients or third parties for delivering, facilitating or giving access to a session using the Materials, or in which the Materials are used to provide a paid or for-profit training or facilitation service (for example, a consultant, trainer or provider charging its clients). Internal training by an organization for its own or its group’s personnel is not Commercial Use, and academic use by educational institutions as part of their teaching is not Commercial Use. Whether Commercial Use applies depends on whether a fee is charged for delivering the session, not on who owns the copy: a paid external facilitator or Game Master engaged to run a session makes Commercial Use — and needs a Commercial License — even where the client owns the copy and even where the session is only for the client’s own personnel. This requirement cannot be avoided by having the client buy the copy while a paid external provider delivers the session. Commercial Use also includes the use of the Materials by a provider of paid training or consultancy services in a session offered free of charge where that session is presented or offered as part of a sales, marketing or lead-generation activity for those services.
2.A — Standard License (Non-Commercial) — included with each copy
For: businesses and other organizations with an approved business account — including schools, universities and other educational institutions, and associations and NGOs — using the Materials for their own internal training or teaching (including for the personnel of other entities within the same group), for advocacy and non-commercial social-impact training, and for personal play and study by their authorized users. A for-profit company or a consultant also falls under this Standard License when it uses the Materials without charging a fee for the session (for example, for its own internal training, or for advocacy or non-commercial social-impact training).
You may:
- use the Materials and play the game for personal, educational/academic, advocacy, non-commercial social-impact, and internal business/organizational purposes (including training the personnel of other companies within the same group);
- act as (or appoint) one Game Master — or up to two Game Masters assisting together — to run sessions of the game with the recommended 4 to 20 participants per session, using one legitimately acquired copy;
- run multiple separate sessions over time with the same copy (see Section 3);
- refer to the game by name to describe your activity (e.g., “a session using SIMPLI IN THE BOX®”);
- display the cards and the Materials to the participants of a permitted session, including where the session is delivered remotely by live video-conference to identified participants, provided that no recording of the session showing the Materials, and no on-demand copy, is made or made available.
You may not:
- make Commercial Use of the Materials (charging clients or participants a fee for the facilitated session, beyond recovery of direct out-of-pocket costs), including engaging a paid external facilitator or Game Master to deliver a session on a copy you own — Commercial Use requires the Commercial License in 2.B;
- permit any person to act as Game Master, or to access the Materials, unless that person has been informed of these Terms and agrees to comply with them; you remain responsible for the acts and omissions of every Game Master you appoint and of your authorized users as if they were your own;
- do anything listed in Section 5 (Restrictions).
2.B — Commercial (Professional / Facilitator) License — obtained separately from OPERARI
For: consultants, trainers, facilitators and organizations that deliver training with the Materials as a paid or for-profit service (including B Corp™ consultants charging their clients). This license is granted separately by OPERARI as a paid upgrade for the corresponding product, unless otherwise agreed in writing. The Commercial License is granted per copy and per named Game Master, for the edition to which it relates, against payment of the one-off Commercial License fee published for that product at the time of the upgrade. It is personal to the licensee and to the named Game Masters, and may not be assigned, sublicensed or transferred, including together with the physical copy.
You may (all of the Standard License rights, and in addition):
- use the Materials and play the game for the same purposes as the Standard License;
- act as (or appoint) one Game Master — or up to two Game Masters assisting together — to run sessions with the recommended 4 to 20 participants per session, using one legitimately acquired copy (see Section 3);
- refer to the game by name to describe your services;
- deliver sessions of the game commercially — i.e., charge clients or participants a fee for training or facilitation delivered using the Materials — subject to these Terms;
- deliver permitted sessions remotely by live video-conference to identified participants within the permitted session size, provided that no recording of the session showing the Materials, and no on-demand copy, is made or made available.
You may not:
- present your services as endorsed or certified by, or affiliated with, OPERARI or B Lab™;
- do anything listed in Section 5 (Restrictions).
The Commercial License is available as a paid upgrade in our store — see the Commercial Licenses collection — for the edition you deliver with. For any question, contact us (Section 11).
3. Which license applies — examples, and session size
The examples below illustrate what is included in the Standard License and what requires a Commercial License. What matters is whether a fee or other consideration is charged to a client or third party for delivering the session — not who the participants are, and not whether the user is a for-profit business.
Included in the Standard License (permitted use — no separate license needed):
- A business or organization uses the Materials to train its own employees, or the employees of other companies within its group, with its own people facilitating and no fee charged for the session;
- A school, university or educational institution uses the Materials in its teaching;
- Any organization — including a for-profit company or a consultant — uses the Materials for advocacy or non-commercial social-impact training without charging a fee for the session;
- Personal play and study by authorized users.
Requires a Commercial (Professional / Facilitator) License:
- A consultant, trainer or facilitator is engaged and paid to deliver a session using the Materials — including where the session is delivered to a client’s own employees, and regardless of who owns the copy. It is the charging for the delivery that requires the Commercial License, regardless of who the participants are; a client cannot avoid this by buying the copy itself and paying an external, non-commercially-licensed facilitator to deliver the session;
- Sessions or workshops using the Materials are sold or offered to clients or to the public for a fee;
- The Materials are used as part of any paid or for-profit training or facilitation service.
Session size (applies to every license):
Each license is granted per copy. One copy entitles one Game Master (or up to two assisting together) to run sessions of the recommended size — 4 to 20 participants per session — and the same copy may be used to run several separate sessions over time (for example, two sessions of 20 participants each). Running a single session with more than 20 participants on one copy requires an additional copy for each further group, or OPERARI’s prior written authorization.
The recommended size of 4 to 20 participants reflects how the game was designed and tested for pedagogical effectiveness. We recommend staying within it: running a much larger single session (for example, 60 participants on a single copy) tends to reduce the quality of the learning experience. For larger groups, we recommend using additional copies and running parallel tables, each with its own Game Master and its own copy. Each copy is licensed for one session of the recommended size at a time, and we rely on users applying this reasonably and in good faith.
4. Companion PDF files and digital delivery
Where OPERARI makes companion PDF files available (for example, a PDF of the Training Guide, or a card-display PDF for showing the cards on a screen), the following terms apply in addition to the rest of these Terms. Companion PDFs are ancillary to the game and its Materials and are provided only to legitimate purchasers, and only to the extent authorized under OPERARI’s license with B Lab. Where OPERARI’s license from B Lab is amended, suspended or terminated, OPERARI may modify or withdraw the affected elements of the Materials in respect of future supplies; licenses already granted for copies already supplied remain unaffected except to the extent OPERARI is required to act otherwise.
- Digital delivery: companion PDF files are delivered electronically (by email and/or download link, through our service provider) to the identified purchaser after the order is confirmed.
- One-to-one: one companion PDF is licensed per legitimately acquired copy of the physical product (one copy = one PDF).
- Purchaser-specific license: the companion PDF is licensed to the identified purchaser only, for the purchaser’s own use and for display during sessions permitted under the purchaser’s license tier (Section 2); it does not create any additional or separate right beyond that copy.
- Watermark: each companion PDF is personalized and watermarked with information identifying the purchaser and/or the order, and indicating the applicable license tier (Non-Commercial or Commercial). You must not remove, obscure, alter, defeat or circumvent the watermark or any other technical identifier or protection applied to the file.
- Commercial upgrade: where a Commercial License is obtained for a product, the corresponding companion files are re-issued to the purchaser bearing a Commercial-License watermark; the Non-Commercial terms cease to apply to that product to the extent superseded by the Commercial License.
- No redistribution (companion PDFs): you must not copy, forward, share, distribute, publish, upload, post, host, transmit, sell, rent, lend, sublicense or otherwise make the companion PDF — in whole or in part, or any file derived from it — available to any third party or to the public, by any means (including email, messaging, cloud links and file-sharing services). The companion PDF is for the identified purchaser’s own use only.
- No modification or extraction: you must not edit, adapt, translate, or extract text or images from the companion PDF (see also Section 5).
- License ends on return: where the related physical product is returned, the license for the corresponding companion PDF files ends; you must stop using them and delete or destroy all copies in your possession or control (consistent with our Refund Policy).
- Print-on-demand editions (where offered): the Card Book and the Training Guide may also be offered as print-on-demand printed editions, produced and shipped by our print-on-demand partner. Such printed editions may be supplied without watermark and may be purchased only by customers who already hold the corresponding license for that edition; their use remains governed by these Terms. Each print-on-demand copy bears, on its colophon page, a unique copy identifier and the name of the licensee to whom it was supplied.
- Traceability and breach: a companion PDF found outside the purchaser’s permitted use may be traced, via its watermark, to the purchaser. Unauthorized sharing or use is a breach of these Terms (Sections 5 and 6) and may lead to suspension or termination of the license and to any other remedy available at law.
5. Restrictions — what you may not do (both licenses)
- Reproduce or copy the cards or the texts, in whole or in part (including by photocopying, scanning, printing or digitizing), beyond limited personal use of your own copy;
- Create derivative works, adaptations, modifications or translations of the Materials;
- Redistribute, resell (other than the lawful resale of an original physical copy you own), rent, lend for commercial purposes, sublicense, or make the Materials available online;
- Remove or alter any copyright, trademark or design notice;
- Use the “SIMPLI IN THE BOX” name, logo or registered designs as your own brand, or in any way suggesting endorsement, partnership, certification or official status;
- Claim, register or assert any intellectual-property right in the content, the marks or the designs, or register any confusingly similar mark or design;
- Reproduce the Materials in digital form, or translate or adapt them, without OPERARI’s prior written consent — and, for the content based on the B Lab Standards™, subject also to the prior written approval of B Lab™;
- Use the Materials, or any part of them, as input for the training, fine-tuning, grounding, retrieval or evaluation of any artificial-intelligence or machine-learning system, or carry out text or data mining on them. OPERARI expressly reserves its rights under Article 4(3) of Directive (EU) 2019/790 and Article 70-quater of Italian Law 633/1941;
- Record, film, stream or otherwise fix a session in a manner that reproduces the cards or the Materials, or make any such recording available to any third party;
- Share a single copy across separate legal entities, or use one copy for two or more simultaneous sessions, or otherwise circumvent the per-copy limits of the license;
- Use the SIMPLI IN THE BOX® or OPERARI marks in a domain name, social-media account name, application name or paid-search keyword, or more prominently than your own brand. Any reference permitted under Sections 2.A and 2.B must use the mark accurately and in full, with the ® symbol on first use, must not use the OPERARI or SIMPLI IN THE BOX logos, and must make clear that you are an independent provider.
6. Verification of use; consequences
Where OPERARI has reasonable grounds to believe that the Materials are being used commercially, OPERARI may ask the user to confirm in writing whether their use is Commercial Use and to provide reasonable supporting information; the user agrees to respond in good faith and without undue delay. The user shall reply within 15 days of the request. A user holding a Commercial License shall keep, for three years, a record of the sessions delivered with the Materials (date, edition, copy identifier and number of participants) and shall produce it to OPERARI on reasonable written request, no more than once in any twelve-month period.
Making Commercial Use of the Materials under a Standard (Non-Commercial) License is a breach of these Terms. In that case the user shall promptly obtain a Commercial License and pay the applicable fees and/or royalties, including in respect of past Commercial Use; and OPERARI may, in addition, suspend or terminate the license and pursue any remedy available at law, including damages. OPERARI’s rights to enforce its copyright, trademarks and registered designs are unaffected. Nothing in this Section limits any rights or remedies that cannot be excluded or limited under the mandatory law applicable to business-to-business sales. Where Commercial Use is made without a Commercial License, the user shall pay to OPERARI, as a penalty pursuant to Article 1382 of the Italian Civil Code, an amount equal to twice the Commercial License fee published for the relevant product at the time the Commercial Use began, for each copy so used, without prejudice to compensation for any greater damage. In any event, OPERARI may claim damages measured by reference to the fee that would have been payable had the license been requested and granted (Article 158 of Italian Law 633/1941 and Article 125 of Legislative Decree 30/2005).
7. Educational purpose and B Lab notice
The Materials are based on the B Lab Standards™. They are an independent educational and training tool. They do not constitute B Corp Certification, nor a guarantee of, nor an official pathway to, certification, which is granted solely by B Lab under its own processes and criteria.
The B Lab Standards may be updated. Find the latest version of the B Lab Standards™ and begin your journey to B Corp Certification at bcorp.com.
OPERARI is solely responsible for its adaptation of the Standards in the Materials. B Lab™ is not liable for any inaccuracy, omission or outdated information contained in the Materials.
8. No warranty; limitation of liability
The Materials are provided “as is”, for educational purposes only. To the maximum extent permitted by applicable law, OPERARI gives no warranty that the content is complete, current or fit for obtaining any certification. Nothing in these Terms excludes any liability that cannot be excluded by law. OPERARI’s aggregate liability is limited to the total amounts paid by you for the copy and for any license relating to it, and OPERARI is not liable for loss of profit, loss of business, loss of opportunity, or any other indirect or consequential loss. Nothing in these Terms excludes or limits liability for willful misconduct or gross negligence (Article 1229 of the Italian Civil Code), for death or personal injury, or any other liability that cannot be excluded by law. Any claim must be brought within twelve months of the date on which you became aware of the facts giving rise to it.
9. Duration, automatic renewal, transfer of a copy and termination
Duration. The Standard License is granted for the duration of copyright protection in the Materials and continues for as long as you hold the copy to which it relates, unless terminated under this Section. The Commercial License is granted for an initial term of thirty-six (36) months from the date of the upgrade and is automatically renewed, at no additional charge, for successive terms of twelve (12) months, unless terminated under this Section.
Transfer of a physical copy. Where you lawfully transfer a physical copy of an edition, the Standard License relating to that copy transfers with it, provided that you transfer the complete copy, retain no copies of the Materials in any form, permanently delete every companion PDF file supplied with it, and inform the transferee that use is governed by these Terms. The Commercial License does not transfer with the copy.
Termination. OPERARI may terminate a license by written notice where you commit a material breach of these Terms which, being capable of remedy, is not remedied within 15 days of that notice, and may terminate with immediate effect where the breach consists of unauthorized reproduction or redistribution, removal or circumvention of the watermark, or Commercial Use without a Commercial License. On termination you shall cease all use of the Materials, delete or destroy all companion PDF files and copies in your possession or control, and confirm in writing that you have done so. Sections 1, 5, 6, 8, 9, 10 and 11 survive termination.
10. General
Severability. If any provision of these Terms is held invalid or unenforceable, it shall be replaced by a valid provision that comes as close as possible to its purpose, and the remaining provisions remain in full force.
Assignment. OPERARI may assign these Terms and the rights under them to a company of its group or to a transferee of the business or of the relevant intellectual-property rights. You may not assign or transfer your rights except as expressly permitted in Section 9.
No waiver. A failure or delay by OPERARI in enforcing any provision of these Terms is not a waiver of that provision or of any other.
Entire agreement. These Terms, together with our Terms of Service, Refund Policy and Privacy Policy, constitute the entire agreement between the parties in respect of the licensing of the Materials and supersede any prior understanding on that subject.
Language. These Terms are drafted in English. Any translation is provided for convenience only and, in case of discrepancy, the English text prevails.
11. Governing law, specific approval of clauses and contact
These Terms are governed by Italian law; the courts of Milan (Italy) have exclusive jurisdiction over any dispute with OPERARI, without prejudice to any protections that cannot be excluded under the mandatory law applicable to business-to-business sales. These Terms form part of, and are incorporated into, our Terms of Service.
Specific approval of clauses. Pursuant to Articles 1341 and 1342 of the Italian Civil Code, the customer specifically approves the following clauses: Section 2 (scope and limits of the license), Section 4 (restrictions on companion PDF files), Section 5 (restrictions), Section 6 (verification, consequences and penalty), Section 8 (no warranty; limitation of liability), Section 9 (duration and automatic renewal, transfer and termination), Section 10 (assignment) and this Section 11 (governing law and exclusive jurisdiction of the courts of Milan). By ticking the dedicated acceptance box in the business account registration form, the customer specifically approves these clauses for every order placed through that account, and the acceptance is recorded against the account.
